MOR WEBSITE TERMS & CONDITIONS

These Terms and Conditions ("Terms") govern your use of the Mor website (the "Website"), your purchase of NFC-enabled plates and business cards (the "Goods"), and your access to and use of the Mor URL Redirection Management Service (the "Service").

By accessing the Website, purchasing the Goods, or utilising the Service, you confirm your acceptance of these Terms, creating a legally binding contract between you and Mor ("Mor," "we," "us," or "our").


1. Scope of Agreement and Product Definition

1.1. Dual Product Offering

Your purchase from Mor consists of two distinct components: a. Goods: The physical NFC-enabled plates, metal cards, and any associated materials. b. Service: The digital platform that facilitates the automated, dynamic 301 redirection of the unique URL (e.g., move.getmor.co/i/xxxxxxxx) pre-programmed onto your Goods. This Service is essential for ensuring your link can be updated instantly and remains functional.

1.2. Eligibility

You must be at least 18 years of age and capable of entering into a binding contract to purchase Goods or use the Service. By placing an order, you warrant that you are purchasing the Goods and Service for commercial or business use.


2. Orders, Payment, and Fulfillment

2.1. Order Acceptance and Refusal

All orders placed through the Website are subject to acceptance by Mor. Your receipt of an order confirmation does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. We reserve the right to accept or decline your order for any reason, including product unavailability, errors in pricing, issues with payment, or breach of Clause 5.2 (Prohibited Content).

2.2. Pre-Orders and Out-of-Stock Products

If an order is placed for a product advertised as a "Pre-Order" or "Out-of-Stock," Mor will communicate an estimated delivery timeframe. a. Compensation: Any advertised discount or compensation (e.g., 15% discount) offered for delayed fulfillment is guaranteed upon acceptance of your pre-order. b. Cancellation: If the estimated delivery time is substantially exceeded, you are entitled to cancel your pre-order and receive a full refund, subject to our Returns and Refund Policy.

2.3. Pricing and Currency

All prices are displayed in Australian Dollars (AUD) unless otherwise stated. Prices are subject to change without notice. You are responsible for all applicable taxes related to your purchase.


3. Intellectual Property (IP) and Custom Designs

3.1. Mor’s Intellectual Property

All content, technology, and proprietary systems related to the Website and the Service, including the Mor logo, website code, and the dynamic redirection architecture, remain the exclusive property of Mor. You are granted only a limited, non-transferable license to use the Service in connection with the Goods you purchase.

3.2. Customer-Supplied IP (Custom Designs) and Copyright Responsibility

If you submit any logo, trademark, design, or written content (the "Customer IP") for custom engraving or printing on the Goods: a. Customer Warranty: You warrant that you are the sole owner of the Customer IP or have obtained all necessary rights, licenses, and permissions to authorise Mor to use the Customer IP for manufacturing the Goods. b. Indemnity for Infringement: You agree to indemnify, defend, and hold Mor harmless from and against any and all claims, liabilities, damages, and costs (including legal fees) arising from any third-party claim that Mor’s authorised use of the Customer IP infringes upon that third party's Intellectual Property Rights. c. Australian Copyright Disclaimer: Mor does not operate under the US "Fair Use" doctrine. As an Australian business, we adhere to the more restrictive principles of "Fair Dealing" under the Copyright Act 1968 (Cth). You acknowledge and agree that you are solely responsible for ensuring your submitted Customer IP adheres to all applicable Australian and international copyright laws, and Mor will not investigate or rely on any asserted "fair dealing" defense on your behalf.

3.3. Marketing and Promotion (Social Proof)

By purchasing our Goods or utilizing our Service, you grant Mor a limited, non-exclusive, royalty-free license to feature your business name and logo on our Website and in our marketing collateral (such as "Our Clients" slides, social media posts, or customer success presentations).


4. Consumer Guarantees, Warranties, and Limitations

4.1. Mandatory Australian Consumer Guarantees (ACL)

Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled:

You are also entitled to choose a refund or replacement for major failures with goods. If a failure with the goods or a service does not amount to a major failure, you are entitled to have the failure rectified in a reasonable time. If this is not done you are entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion. You are also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service.

4.2. Disclaimer of Digital Service Warranties

Subject to Clause 4.1, the Service and the Website are provided on an "AS IS" and "AS AVAILABLE" basis. Mor does not warrant that: a. The Service will be entirely uninterrupted, error-free, or permanently available. b. The Service, or the third-party software it utilises (e.g., Bitly, WordPress), will meet your specific business requirements.

4.3. Third-Party Dependencies and Carve-Outs

Mor is not responsible for any interruption, loss, or damage resulting from: a. Scheduled Maintenance: Downtime for pre-announced system maintenance or updates. b. Third-Party Failures: Interruptions caused by failures in external services that Mor relies upon, such as cloud hosting providers, the Bitly API, or the Google Business Profile service.

4.4. Limitation of Liability and Exclusion of Consequential Damages

To the maximum extent permitted by law, Mor excludes liability for all indirect, incidental, special, or consequential damages of any kind. This exclusion specifically includes, but is not limited to, liability for lost profits, lost revenue, loss of data, loss of anticipated savings, or lost customer leads/Google Reviews resulting from the use of, or inability to use, the Goods or the Service.


5. Customer Obligations and Acceptable Use

5.1. Destination URL Responsibility

You are solely responsible for the content, operation, security, and legal compliance of the destination URL (e.g., your Google Business Profile page) to which your Mor product redirects. Mor disclaims all liability for the content of any external website linked through the Service.

5.2. Prohibited Content and Right of Refusal

Mor reserves the absolute right to refuse service, cancel any order, or terminate the Service if the Customer IP submitted for engraving or the Destination URL provided for redirection is deemed by Mor, in its sole discretion, to be objectionable, illegal, or socially unacceptable. Prohibited content includes, but is not limited to: a. Content that is illegal, defamatory, abusive, harassing, or discriminatory (including but not limited to content that is racist, sexist, or homophobic). b. Content that promotes hatred or violence against any person or group. c. Content that is excessively graphic, vulgar, or sexually explicit. d. Content that violates the intellectual property rights of any third party.

Consequence of Breach: If Mor cancels an order under this Clause 5.2, we will notify you and issue a full refund of the purchase price paid for the Goods and Service.


6. General Provisions

6.1. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Queensland, Australia, and the Commonwealth of Australia. You agree to submit to the exclusive jurisdiction of the courts of Queensland, Australia, for any legal dispute arising from these Terms or the Goods and Service.

6.2. Entire Agreement

These Terms, along with the Privacy Policy and the Returns and Refund Policy, constitute the entire agreement between you and Mor and supersede any prior agreements or understandings.

6.3. Amendments

Mor reserves the right to amend these Terms at any time. We will provide reasonable notice of any material changes. Continued use of the Website or Service after such changes are posted constitutes your acceptance of the revised Terms.
